Privacy Policy Terms And Conditions For Service Subscriptions to Strategic Axis ("The Service") The Service is an online information service from Strategic Axis Advisors, L.L.C. ("Strategic Axis"). By using the Service, ("the Client") you agree to the Terms and Conditions for a Service Subscription. Please read the Terms and Conditions carefully. Strategic Axis may revise the terms in this Agreement at any time. By using the Service after any change in the Agreement is posted, you agree to be bound by all of the changes. The Client is responsible for complying with the Terms and Conditions. Any violation of the Terms and Conditions may jeopardize future use of the Service, and upon any such violation, such account may be subject to immediate suspension or termination by Strategic Axis as determined in its sole discretion. Copyright And Limitations On 1.1 Under the terms of a Service Subscription, access to Strategic Axis content, services or tools, and other intelligence features is for the Client ONLY and may not be shared. The Client is responsible for the confidentiality and use of the Client's user name and personal password. The Client's responsibility extends to all activity and use under the user name and password. By purchasing the Service Subscription, you agree not to reproduce, retransmit, photocopy, distribute, disseminate, sell, publish, broadcast, or circulate the information received through the Service to anyone without the express prior written consent of Strategic Axis. Information abstracted from our intelligence can be used for research purposes but not for commercial purposes. Copying and distributing original copyright-protected intelligence from the site is expressly forbidden. 1.2 The Client agrees to provide complete and accurate account information. It is the sole responsibility of the Client to report any changes to Strategic Axis Customer Service department immediately. Further, if it is determined that the information provided is inaccurate or incomplete, Strategic Axis reserves the right to suspend or terminate the account until such information is corrected by the Client. 1.3 The information available through the Service is the property of Strategic Axis or its licensors, and is protected by copyright and other intellectual property laws. Information received through the Service is for the Client's use only. Corporations, enterprises, organizations or other commercial entities are not authorized to use the Individual Subscription Service under these Terms and Conditions. 1.4 Clients may not post any intelligence from the Service to newsgroups, mail lists, or electronic bulletin boards, without the prior written consent of Strategic Axis. 1.5 Strategic Axis reserves the right to monitor the Client's use of all intelligence, services, and tools to ensure the Client's compliance with the Terms and Conditions. If it is determined that the Client is not in compliance with these Terms and Conditions, Strategic Axis reserves the right to take such action as is deemed necessary, including, but not limited to, suspension or termination of the Client's account. The Client acknowledges that such monitoring of use may include determining whether or not the Service is accessed under the account from multiple IP addresses, as well as noting excessive use from Individual Subscription accounts. 1.6 The Service includes facts, views, opinions, and recommendations of individuals and organizations deemed of interest. Strategic Axis does not guarantee the accuracy, completeness, or timeliness of, or otherwise endorse, these views, opinions, or recommendations, give investment advice, or advocate the purchase or sale of any security or investment. Disclaimer Of Warranties And Liability 2.1 Due to the number of sources from which information on the Service is obtained, and the inherent hazards of electronic distribution, there may be delays, omissions, or inaccuracies in such information and the Service. 2.2 STRATEGIC AXIS ADVISORS, L.L.C. AND ITS AFFILIATES, AGENTS, AND LICENSORS CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, NONINFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OF THE NEWS AND INFORMATION AVAILABLE THROUGH THE SERVICE, OR THE SERVICE ITSELF. NEITHER STRATEGIC AXIS NOR ANY OF ITS AFFILIATES, AGENTS, OR LICENSORS SHALL BE LIABLE TO THE CLIENT OR ANYONE ELSE FOR ANY LOSS OR INJURY CAUSED IN WHOLE OR IN PART BY ITS NEGLIGENCE OR CONTINGENCIES BEYOND ITS CONTROL IN PROCURING, COMPILING, INTERPRETING, REPORTING, OR DELIVERING THE SERVICE AND ANY NEWS AND INFORMATION THROUGH THE SERVICE. IN NO EVENT WILL STRATEGIC AXIS, ITS AFFILIATES, AGENTS, OR LICENSORS BE LIABLE TO THE CLIENT OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY THE CLIENT IN RELIANCE ON SUCH INFORMATION, OR FOR ANY CONSEQUENTIAL, SPECIAL OR SIMILAR DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE CLIENT AGREES THAT THE LIABILITY OF STRATEGIC AXIS, ITS AFFILIATES, AGENTS, AND LICENSORS, IF ANY, ARISING OUT OF ANY KIND OF LEGAL CLAIM (WHETHER IN CONTRACT, TORT, OR OTHERWISE), IN ANY WAY CONNECTED WITH THE SERVICE OR THE INFORMATION IN THE SERVICE, SHALL NOT EXCEED THE AMOUNT THE CLIENT PAID TO STRATEGIC AXIS FOR USE OF THE SERVICE. 2.3 Strategic Axis may discontinue or change the Service, or its availability, at any time without notice. The Client's rights and obligations under this Agreement are not assignable. If any provision of this Agreement is invalid under applicable law, the remaining provisions will continue in full force and effect. This Agreement, all intellectual property issues, and your rights and obligations shall be governed by the laws of the Country(s) and the State(s) of governing contracts wholly entered into and wholly performed within the particular Country and State. Section 3. Privacy Policy 3.1 Strategic Axis is committed to protecting your privacy. Information that we collect stays within Strategic Axis and any information distributed to third parties is reported in aggregate only. We do not give or sell your information.
